SaveCity.net's TERMS OF SERVICE
This agreement sets forth the Terms of Service("TOS") which apply to your use of the SaveCity.net services and web sites. These Terms of Service may be updated by SaveCity.net from time to time without notice to you. SERVICE
SaveCity.net offers access for users to various content and downloads on the SaveCity.net sites (located at www.SaveCity.net, SaveCity.Info, etc) and The SaveCity.net Internet System. The SaveCity.net internet sites and any SaveCity.net software services, forums, etc, are henceforth jointly referred to as the "Service". These terms of service apply to the Service and to SaveCity.net in general. All additions, modifications, or deletions to the Service, including but not limited to, the release of new SaveCity.net software/websites and new versions of existing SaveCity.net software/websites shall be subject to the TOS, unless explicitly stated otherwise. You understand and agree that the Service is provided "AS-IS" and that SaveCity.net assumes no responsibility for the timeliness, deletion, mis-delivery of messages or loss of any information or content related to the site. BY USING THE SERVICE, YOU AGREE TO THE TERMS OF THIS AGREEMENT JUST AS IF YOU HAD SIGNED THE AGREEMENT. If you do not agree to be bound by this Agreement, please discontinue your use of the Service immediately and destroy all copies of the SaveCity.net Software in your possession. You acknowledge that SaveCity.net reserves the right to log off accounts that are inactive for an extended period of time. You acknowledge that SaveCity.net reserves the right to delete accounts that are unused for an extended period of time. You acknowledge that SaveCity.net may set time limits regarding how long you may be connected to the Service within any given time period. You further acknowledge that SaveCity.net reserves the right to change these practices and limits at any time, in its sole discretion, with or without notice.
ACCESS TO SERVICE
In order to register and use the Service, you must :
1) Be 18 years of age or older. If you are between 13 and 17 years of age you must have parental consent to register and use the Service. Furthermore, your legal guardian must also read and accept the TOS. Children under 13 years of age are not allowed to register or use the Service.
2) Obtain access to the World Wide Web. You understand that it is entirely your responsibility to purchase or lease any equipment and to pay any fees necessary to make your connection to the World Wide Web.
LEGAL GUARDIAN AND PARENTAL RESPONSIBILITY
As the legal guardian or parent of a Service user under 18 years of age, it is your responsibility to determine which parts of the Service are appropriate for your child. There are many commercially available programs that allow you to restrict your child's access to various content and services on the Internet and World Wide Web. You accept full responsibility to find suitable ways, through your purchase of content-blocking programs, filtering services, or through other means, to block your child's access to the portions of the Service that you deem inappropriate for your child and you assume all costs and fees associated with purchasing and/or leasing such programs. If you decide to allow your child to access the service, you assume full responsibility for 1) your child's conduct while using the Service and, 2) any consequences resulting from your child's use of the Service.
SaveCity.net'S PRIVACY POLICY
Your registration information and other information about you is subject to our Privacy Policy. You acknowledge that your username, and usage statistics (number of posts, etc) may be posted on the Service. You further acknowledge that this information may be openly available to the public. REGISTRATION OBLIGATIONS
In order to use certain aspects of the Service you will be required to Register. When completing the registration form, you agree to provide truthful, accurate, and complete information about yourself. You also agree to keep your registration information up to date and update your registration information in a timely manner should it change. Any registration information you provide that is untruthful, inaccurate, incomplete, or not current , or if SaveCity.net has reasonable grounds to suspect that such information is untruthful, inaccurate, incomplete, or not current, SaveCity.net has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). Upon completion of your registration, you will receive a username and password to reference your account. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify SaveCity.net of any unauthorized use of your password or account or any other breach of security. You also agree to exit from your account at the end of each session. SaveCity.net cannot and will not be liable for any loss or damage arising from your failure to comply with these Registration Obligations.
CONDUCT
You agree that while using the Service you will not:
a) Transmit or post any Content that is unlawful, harmful, harassing, invasive, offensive, or otherwise objectionable. b) Use any network monitoring device to monitor the information sent to or received by the SaveCity.net Internet System. c) Impersonate any person or entity or misrepresent your affiliation with a person or entity. d) Harm minors in any way, shape or form. e)Transmit or post any Content that you do not have a right to transmit under any local, state, national or international law. f)Transmit or post any Content that infringes any patent, trademark, trade secret, copyright or the rights of any party. g)Transmit or post or email any unsolicited or unauthorized advertising, promotional materials such as "junk mail", "spam mail", or any other form of solicitation or to collect personal data about other users. h)Transmit or modify any Service software to carry viruses or other computer code designed to cause disruption or damage. i) Act in any manner that negatively impacts other users. j) Interfere with or disrupt the Service, servers or networks connected to the Service. k) Intentionally or unintentionally violate any applicable local, state, national or international law. l)Use multiple email addresses to register more than once. Any attempt to register more than once will result in termination of your account, password and loss of access to the Service.
SAFETY
Please use caution when using the Service and do not give out any personal information about yourself (such as name, address, phone number, etc.) to anyone whom you do not know. Terminate any conversation and/or communication with any anyone if you begin to feel uncomfortable. Please alert SaveCity.net of any individual whom you feel has violated the TOS.
CONTENT
You understand that all information, posts and messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which the Content originated. You understand that by using the Service, you may encounter Content that might be considered offensive, indecent or objectionable. Under no circumstances will SaveCity.net be liable in any way for any Content, or for any loss or damage of any kind incurred as a result of the use of any Content. You acknowledge that SaveCity.net has the right (but not the obligation) in their sole discretion to refuse, move or remove any Content that is available via the Service for any reason, including but not limited to, any Content that violates the TOS or is otherwise objectionable. SaveCity.net is not responsible for any delay or failure in removing any objectionable or inaccurate Content. You acknowledge that you may not rely on any Content created by SaveCity.net or submitted to SaveCity.net, including, without limitation, information in the SaveCity.net Internet System, the SaveCity.net Internet Sites, and in all other parts of the Service. You acknowledge and agree that SaveCity.net may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to comply with legal process, enforce the TOS, respond to claims that any Content violates the rights of third-parties, or protect the rights, property, or personal safety of SaveCity.net, its users and the public. You understand that all data and Content transmitted to and from the Service, may involve transmissions over a wide variety of networks and therefore may require changes to adhere to the technical requirements of these connecting networks.
SUBMISSIONS
SaveCity.net welcomes your comments regarding the Service. However, any submissions or proposals concerning an enhancement or modification to the Service shall be deemed, and shall remain, the property of SaveCity.net, Incorporated. By submitting information or proposals for enhancements or modifications to the Service, you agree to transfer all rights to SaveCity.net and to allow SaveCity.net to use the submission material to enhance and improve the Service without any compensation to the creator and/or originator of the submission material.
INTERNATIONAL USE
Due to the size and scope of the Internet and World Wide Web, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.
REDISTRIBUTION AND RESALE PROHIBITED
You agree not to modify, copy reproduce, republish, upload, post, sell, resell, exploit, transmit, publicly display, prepare derivative works based on, or distribute in any way, any part of the Service or access to the Service. You may not transfer your rights to use the Service, Software and Documentation to another person or legal entity.
COPYRIGHT INFRINGEMENT AND INTELLECTUAL PROPERTY
Should you feel that your work has been copied in any way that constitutes copyright infringement, please provide SaveCity.net with the following information:
1. The electronic or physical signature of the owner of the copyright or the person authorized to act on the owner's behalf.
2. A description of the copyrighted work that you claim has been infringed and a description of the infringing activity.
3. Identification of the specific location on the Service where the material that you claim is infringing is located.
4. Your name, address, telephone number, and email address.
5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
6. A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

INDEMNIFICATION
You agree to indemnify and hold SaveCity.net, and officers, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use or misuse of the Service.
MODIFICATIONS TO SERVICE
SaveCity.net reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that SaveCity.net shall not be liable to you or to any third party for any modification, suspension or termination of the Service.
TERMINATION
You agree that SaveCity.net, in its sole discretion, may terminate your password, account or use of the Service, for any reason. SaveCity.net may also at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this TOS may be effected without prior notice, and acknowledge and agree that SaveCity.net may immediately deactivate or remove your account and/or restrict or remove any further access to the Service.
ADVERTISERS
Your correspondence or business dealings with advertisers found on or through the Service, including payment, delivery, and warranty of goods or services, are solely between you and the advertisers. You agree that SaveCity.net shall not be responsible or liable for any loss or damage of any kind incurred as the result of any such dealings with advertisers on the Service.
SaveCity.net'S RIGHTS
You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by SaveCity.net or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. SaveCity.net grants you a personal, non-transferable and non-exclusive right and license to use the Software provided that you accept the End User License Agreement. You agree not to access the SaveCity.net Internet System by any means other than through the interface and software that is provided by SaveCity.net for use in accessing the SaveCity.net Internet System.
LINKS TO EXTERNAL SITES
The Service may provide, or third parties may provide, links to other World Wide Web sites or resources ("External Sites"). Because SaveCity.net has no control over External Sites, you acknowledge and agree that SaveCity.net is not responsible for the availability of External Sites. Further, SaveCity.net does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from External Sites. You acknowledge that SaveCity.net shall not be responsible or liable, directly or indirectly, for any damage or loss caused in connection with use of or reliance of External Sites
NO WARRANTY
SAVECITY.NET, INCORPORATED EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SOFTWARE PRODUCT OR SERVICES PROVIDED. THE SOFTWARE PRODUCT, SERVICES PROVIDED, AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SERVICE AND SOFTWARE REMAINS WITH YOU.
LIMITATION OF LIABILITY
IN NO EVENT WILL SAVECITY.NET, INCORPORATED BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM:
1) THE USE OR THE INABILITY TO USE THE SOFTWARE OR SERVICE (EVEN IF SAVECITY.NET, INCORPORATED OR AN AUTHORIZED DEALER OR DISTRIBUTOR HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES)
2) FOR ANY CLAIM BY ANY OTHER PARTY.
3) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
4) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE
SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
MODIFICATION TO THE TERMS OF SERVICE (TOS)
The Service may provide notices of modifications to the Terms Of Service (TOS) or other matters by displaying notices or links to notices to you on the Service.
TRADEMARK INFORMATION
SaveCity.net, the SaveCity.net logo, and other SaveCity.net logos and product and service names are trademarks of SaveCity.net Inc. Without SaveCity.net's prior permission, you agree not to display or use in any manner, these trademarks.
OTHER PROVISIONS
1.The TOS constitute an agreement between you and SaveCity.net and govern your use of the Service, this agreement is in addition to the End User License Agreement that you may have with SaveCity.net, Inc.
2.The TOS and End User License Agreement between you and SaveCity.net shall be governed by the laws of the State of Connecticut without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Fairfield, Connecticut.
3.The failure of SaveCity.net to exercise or enforce any right or provision of the TOS does not constitute a waiver of such right or provision.
4.If any provision of the TOS is held to be invalid or unenforceable by a court a law, the parties nevertheless agree that the court should endeavor to construe, as nearly as possible, the intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.
5.You agree that any claim arising out of or related to the use of the Service or the TOS must be filed within 12 months after such claim arose or be forever barred.
VIOLATIONS OF THE TERMS OF SERVICE
Please report any violations of these Terms Of Service to SaveCity.net immediately.
